A shareholder register explains who legally holds a company’s shares. A beneficial ownership review asks a further question: which individuals ultimately exercise control or receive the relevant economic benefits?
For companies operating in Indonesia, answering that question requires accurate information and supporting evidence. It also deserves attention before an acquisition, restructuring or financing transaction, when discrepancies can become harder to resolve under time pressure.
Indonesia’s framework includes Presidential Regulation No. 13 of 2018, effective from 5 March 2018, and Minister of Law Regulation No. 2 of 2025 on Verification and Supervision of Corporate Beneficial Owners, effective from 4 February 2025. The latter covers limited liability companies and several other organisational forms, including foundations, associations, cooperatives and partnerships. These are existing rules, rather than proposed requirements. peraturan.bpk.go.id
Look beyond the immediate shareholder
The 2025 regulation defines a beneficial owner as an individual, referring to matters such as control, appointment or removal powers, entitlement to benefits, and actual ownership of funds or shares, together with the applicable statutory criteria. JDIH BPK
For an Indonesian subsidiary owned by an overseas holding company, identifying that holding company alone therefore does not complete the analysis. The review should examine the ownership chain and relevant control arrangements to determine which individuals satisfy the applicable criteria.
Commercial documents can help explain the position. Shareholders’ agreements, voting arrangements and appointment rights may reveal information that is not apparent from a simple ownership chart. Their relevance must be assessed against the legal tests; a document’s existence does not automatically make every party a beneficial owner.
Treat verification as an ongoing responsibility
Articles 3 and 6 of the 2025 regulation require annual updating of beneficial ownership information, maintenance of relevant documents and completion of the beneficial ownership questionnaire. Corporate verification involves checking information against supporting documents and applies when reporting establishment, changes and updates. peraturan.go.id
The practical implication is that a historical filing should be reviewed against the present facts. An acquisition, internal reorganisation or change in control arrangements is a sensible trigger for reassessment.
The annual update requirement should also be distinguished from obligations arising when information changes. Companies should check the applicable reporting procedure and timing when a transaction occurs.
Build a file that explains the conclusion
We recommend maintaining a concise review file containing:
| Item | Practical purpose |
|---|---|
| Current ownership chart | Shows the chain of ownership and identifies gaps requiring investigation. |
| Supporting corporate documents | Substantiates the entities, individuals and interests shown in the chart. |
| Relevant control arrangements | Records appointment, voting or other rights that may affect the assessment. |
| Written assessment | Explains why the identified individuals meet the applicable criteria. |
| Filing and review record | Tracks submissions, supporting evidence and the next scheduled review. |
This is a recommended working structure, not a universal statutory document checklist. The evidence needed will depend on the corporation and its ownership arrangements.
For international groups, appointing a person who can obtain documents from overseas entities can make the process more efficient. Access to personal information should remain controlled and proportionate to the compliance purpose.
Include beneficial ownership in transaction planning
Before signing or completing a transaction, deal teams should identify who will obtain information from the sellers, investors and relevant group entities. They should also agree who will coordinate verification and any resulting filings.
Where information is missing, the transaction documents can allocate responsibility for providing it and addressing discrepancies. The appropriate contractual approach depends on the transaction; a general warranty may not resolve a known evidential gap.
The immediate management question is straightforward: can the company explain and substantiate its current beneficial ownership position? A documented answer provides a stronger basis for compliance and due diligence than an ownership chart that has not been checked against current records.
